Corporate Records Manager

Our client is a recognized leader in the research, engineering, manufacturing and marketing of electrical
and electronic equipment. Their products are used in communications, consumer electronics, industrial
technology, energy and transportation that range from award-winning home theater systems to
entertainment systems for automobiles, semiconductors to climate-control systems, and elevators to
power generating stations. They employ nearly 3,700 in 30 locations throughout North America and their
sales in fiscal year 2006 were approximately $2.5 billion.

Reporting Relationships

The Corporate Records Manager will report to the Senior Vice President of Human Resources. The
position will be primarily interface with the IT, HR and Legal Departments providing compliance leadership
for corporate records requirements. This role will also promote cooperation and a proactive environment
facilitating effective corporate record management policies and processes.

Summary of Responsibilities


As the Corporate Records Manager, this individual is responsible and will be accountable for coordinating
the work necessary to ensure the leadership of the Company’s development, implementation and
oversight of the Corporate Records Retention Policy and Program (the “RR Program”). This position will
work with IT Department, HR Department, Legal Department and other Departments to promote corporate
record keeping policies. Also, this position will counsel and assist sister companies in the development
and implementation of their Records Retention Policies and Programs.  

Essential Duties and Responsibilities

The Corporate Records Manager is accountable to:

1. Carry out CRM duties and responsibilities as set forth in the Corporate RR Program, as updated from
time to time.

2. Chair the Corporation’s Records Retention Committee.

3. Development of:


a) directives and standard operating procedures as required for creation, storage, retrieval, protection,
preservation and destruction of corporate records in all formats, including, but not limited to hard copy and
electronic records created and maintained for the Company.

b) modifications to the RR Program, with assistance of the Legal Department, as required to maintain a
current and comprehensive program, for approval by the Corporation’s Records Retention Committee.

c) procedures for achieving rigorous compliance with litigation holds (suspension and preservation
notices).

d) recommendations for records management software, technologies and other document management
products and services (e.g., electronic document imaging, text retrieval, etc.) for use throughout the
Company.

e) schedules and processes that are fully compliant with applicable legal requirements (done in
conjunction with the Legal Department).

f) arrangements for offsite storage of corporate records (hard-copy and data protection) for all Company
locations where necessary and manage all associated vendor relationships.

g) arrangements for secure destruction of records in all Company locations in accordance with the RR
Program, but subject to all litigation holds.

h) orientation and training programs on record retention and other records management topics and the
communication of these programs to all business units throughout in the Company.

i) audit plans and processes for compliance with the records management policy, retention schedules,
associated policies and procedures and legal accountability requirements.

4. Implementation of:

a) all developmental responsibilities as stated above.

b) retention policies and schedules for Company records with individual business units and departments.

c) training, consultation and support to Records Administrators and individual employees to assist in
properly categorizing, storing, modifying and disposing of their records.

d) litigation holds with assistance of the Legal Department.

e) legal requirements and directions from in-house and outside counsel in connection with discovery
requests and related actions required as a result of on-going or reasonably anticipated litigation or
investigations.

5. Administration of:

a) the RR Program, including: identification and classification of all Company records, determination of the
proper custodian/owner of each official record, identification and removal of non-essential copies of the
records, and creation of the necessary infrastructure so only the appropriate individuals have access to the
record(s).

b) records management projects from creation through active life to final preservation and/or disposition.

c) litigation holds, including providing direction and assistance for suspension of destruction of records.

d) audit plans.

e) master directory maintenance of all hard copy records.

f) the identification of vital records and appropriate disaster protection and recovery methods for these
mission-critical records (working with IT). Responsible for communicating and educating employees about
disaster protection and recovery.

Required Experience and Training

Minimum of five years demonstrated successful experience in the proper management of the entire
lifecycle of paper and electronic records. This role requires a Professional certification in Records
Management, particularly for e-records. Active member of AIIM/ARMA. IT background as it relates to records
management, including a working understanding of databases, email systems, network file servers.
Understanding of legal requirements related to records management. Direct experience with Electronic
Discovery, would be considered a “plus.”

Effective written, oral and consensus-building communications skills are required. Experience with
implementation of a corporate software solution for records retention. Knowledge of Freedom of
Information Act and Data Protection Act would also be considered a “plus.”

Personal Characteristics

The successful candidate must have both a tactical and strategic approach with a ‘hands on’ mentality
concerning matters affecting timeliness, thoroughness and accuracy. Characteristics that will describe the
chosen candidate are professional, thorough, good collaborative skills and an ability to work well
throughout the organization. The individual selected for this position will be a self-starter, balanced and
able to display a calm maturity.

Educational Requirement

A Bachelor’s degree from an accredited university. A major or minor in Library Science or specialized
course instruction in record management is a “plus.”

Compensation

Commensurate with the responsibilities and duties described above, our client will provide a competitive
annual base salary ranging from $90,000 to $110,000 plus an annual incentive bonus based on the
achievement of Company and individual goals.

Relocation

Our client prefers to recruit a local candidate, but will consider relocation on a case-by-case basis for an
exceptionally qualified individual.
